Terms and Conditions

1. Who we are

HeyOne is a business software service (quotes, CRM, field service, inventory, HR and related modules) operated by TFV Industries Company Limited ("TFV", "we", "us"), a company registered in Vietnam under enterprise and tax code 0107410802, with its registered office at Tien Dai Hamlet, Yen Lang Commune, Hanoi, Vietnam.

These Terms and Conditions ("Terms") govern your use of the HeyOne website at heyone.app and the HeyOne application (together, the "Service"). By creating a demo, subscribing to a plan or using the Service, you agree to these Terms on behalf of the company or organisation you represent ("you", the "Customer").

2. The Service

HeyOne is provided as software as a service. Each Customer receives its own workspace. The modules and limits available to you depend on the plan and add-ons you have chosen, as described on our pricing page.

We improve the Service continuously and may add, change or retire features. We will not remove a core feature of a plan you are paying for during a paid term without giving you reasonable notice.

3. Free demo

You may try HeyOne free for 30 days without a payment card. When the demo period ends, access to the demo workspace is locked until you subscribe to a plan. If you do not subscribe, we may delete the demo workspace and its data after a reasonable retention period.

4. Accounts and acceptable use

• You are responsible for the people you invite to your workspace, for keeping sign-in details confidential and for all activity in your workspace.
• You must provide accurate company and contact information.
• You must not use the Service to break the law, to send spam, to store or distribute malicious code, to infringe the rights of others, or to attempt to access another customer's data.
• You must not resell, sublicense or copy the Service, or reverse engineer it, except where the law expressly allows.
• You must not overload or probe the Service in a way that harms other customers.

We may suspend a workspace that seriously or repeatedly breaches this section. Where practical we will notify you first and give you a chance to fix the problem.

5. Plans, prices and payment

Paid plans are subscriptions billed in advance, monthly or yearly, at the prices shown on the pricing page or agreed with you in writing. Prices exclude taxes unless stated otherwise; applicable VAT, GST or sales tax is added at checkout.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the period already paid for.

For customers outside Vietnam, online orders may be processed by an authorised reseller acting as Merchant of Record, which is identified at checkout. In that case the reseller is the seller of record for the transaction, handles payment, invoicing and applicable taxes, and its buyer terms apply to the payment alongside these Terms. Customers in Vietnam are billed directly by TFV in Vietnamese dong and receive a Vietnamese e-invoice.

Yearly plans above a certain value and Enterprise plans may be paid by invoice and bank transfer under a separate order form.

If a payment fails or an invoice is overdue, we may lock the workspace after notice until payment is received. Your data is kept during the lock period described in section 9.

We may change prices for future billing periods. We will tell you at least 30 days before a change applies to your subscription, and you may cancel before it takes effect.

6. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

7. Your data

You own all data that you and your users enter into your workspace ("Customer Data"). You grant us the right to host, process and display Customer Data only as needed to provide and support the Service.

We keep each customer's data logically separated from every other customer's data. We do not sell Customer Data and do not use it to train third-party AI models.

You are responsible for having the right to enter the data you store in HeyOne, including personal data of your own customers and employees. Our handling of personal data is described in the Privacy Policy.

You can export your data from the Service while your workspace is active, and you may ask us for an export within the retention period after it ends.

8. AI features

Some features use artificial intelligence to draft, summarise or look up information. AI output can be wrong. You are responsible for reviewing AI output before relying on it or sending it to others.

9. Term, cancellation and data retention

These Terms apply for as long as you use the Service. You may stop using the Service and cancel your subscription at any time. We may end the agreement with 30 days' notice, or immediately for a serious breach that is not remedied.

After a subscription ends, the workspace is locked. We keep Customer Data for at least 30 days so you can reactivate or request an export, after which we may delete it.

10. Intellectual property

The Service, its software, design and the HeyOne name and logo belong to TFV and its licensors. These Terms give you a right to use the Service during your subscription and do not transfer any ownership. If you send us feedback, we may use it to improve the Service without obligation to you.

11. Availability and support

We work to keep the Service available and secure, and we take regular backups. The Service is nevertheless provided "as is" and "as available". We do not promise that it will be uninterrupted or error-free, except where a written service level has been agreed with you.

Support is provided by email during Vietnam business hours unless your plan states otherwise.

12. Liability

To the extent the law allows, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue or business. Our total liability for all claims relating to the Service in any 12-month period is limited to the fees you paid for the Service in that period.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

13. Changes to these Terms

We may update these Terms. If a change is material, we will notify workspace administrators by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Vietnam. Disputes that cannot be settled by discussion will be resolved by the competent courts of Hanoi, Vietnam. This does not remove any mandatory protection you have under the law of your own country.
